Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Mobiventa LLC ("Mobiventa," "we," "us," or "our"), the operator of the Nombani home intelligence and concierge platform ("Nombani" or the "Service"). By creating an account, downloading the app, or using any part of the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Service

Nombani is a subscription-based home intelligence and concierge platform that provides personalized home maintenance planning, professional service scheduling, and home condition tracking. The Service includes:

• A personalized Home Profile and Home Health Score
• A managed annual service calendar based on your home's characteristics
• Coordination and scheduling of vetted home service professionals
• A documented maintenance history for your property
• Add-on services available based on your home's profile and eligibility

Nombani is a concierge and coordination service. We are not a licensed contractor, plumber, electrician, or other licensed trade. The professionals who perform services at your home are independent service providers, not employees of Mobiventa LLC.

Accounts and Registration

To use the Service, you must create an account. You agree to provide accurate, complete, and current information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years of age to create an account. By creating an account, you represent that you are 18 or older and that you have the legal authority to enter into this agreement.

Subscriptions and Billing

Subscription plans. Nombani offers subscription plans (Essential, Complete, and Premium) billed on a monthly or annual basis. Plan details, pricing, and included services are described in the app and on our website. Pricing may vary by location and is confirmed at signup.

Billing. By subscribing, you authorize Nombani to charge your payment method on a recurring basis. Payments are processed by Stripe, Inc. All amounts are in US dollars.

Changes to pricing. We may modify subscription pricing with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new price.

Cancellation. You may cancel your subscription at any time through the app or by contacting support. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months, except where required by law.

Add-ons. Add-on services are billed separately and may be cancelled independently of the base subscription. Add-on availability is subject to your home profile and geographic location.

Service Professionals

All professionals in the Nombani network are independently vetted, licensed, and insured. Nombani coordinates scheduling and manages the relationship on your behalf, but the professionals performing services at your home are independent contractors, not employees or agents of Mobiventa LLC.

You agree to provide service professionals with reasonable access to your property at the scheduled time. Nombani will notify you of any scheduling changes with reasonable advance notice.

In the event of damage, defective workmanship, or disputes relating to a service visit, please contact Nombani support immediately. We will work with you and the professional to resolve the issue, but Mobiventa LLC's liability for the acts or omissions of independent service professionals is limited as described in the Limitation of Liability section below.

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Misrepresent your home's characteristics in your Home Profile in order to obtain services you are not eligible for
• Harass, threaten, or abuse any Nombani service professional
• Reverse engineer, decompile, or attempt to extract the source code of the Nombani application
• Use the Service in any way that could damage, disable, or impair the platform

Intellectual Property

The Nombani platform, including its name, logo, design, software, content, and underlying technology, is owned by Mobiventa LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

Your Home Profile data, maintenance history, and Home Health Score belong to you. You may export your data at any time by contacting support.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Nombani does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not guarantee that any particular home service will prevent damage, extend the life of any system, or increase your property's value, though these may be likely outcomes of proper maintenance.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOBIVENTA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property rights, disclaimers, and limitations of liability) will do so.

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
